The Corporate Counsel (CC) will report to a Senior Corporate Counsel, based in Tokyo, Japan. Occasional international and domestic travel may be required, but will not be a significant part of the job. The successful candidate will serve as the primary attorney to several business teams in Japan on an on-going basis.
The successful candidate will structure, draft, negotiate and advise on a wide range of matters from standard commercial contracts, to complex, high value transactions and cutting-edge business initiatives; provide day-to-day corporate and business law counseling; administer and resolve legal issues that arise in existing commercial relationship; provide legal review of product features, advertisements, promotions and marketing; and legal review of procedural and government compliance issues.
Throughout all the above tasks the Counsel will closely coordinate with the global legal team and outside counsel.
5-10 years in-house legal experience with a multi-national company and/or in a multi-lingual environment is highly preferred. Experience working in a multi-cultural law firm is a plus (not required).
Experience working in a consumer-products, manufacturing, e-commerce or retail business is preferred.
Competence in a broad range of corporate and business laws is required; especially in the areas of commercial transactions and intellectual property (esp. copyright and trademark).

Extensive experience and strong skills in drafting and negotiating contracts. 5. Extensive experience in analyzing and responding to regulatory and compliance matters. 6. Excellent ability to analyze and assess business processes, spot issues and propose/implement solutions. 7. Ability to function autonomously yet communicate laterally and upwardly with ease. 8. Strong legal and business judgment. 9. Excellent interpersonal skills to effectively communicate and coordinate complex issues and projects with diverse levels of management and employees. 10. Managerial skills and commitment to developing members of the team.
1. Experience working in-house or as outside counsel for an internet or retail company is preferred but not essential. 2. Experience advising on M&A transactions. 3. Experienced reviewing and advising on intellectual property issues.
